This website is operated by Verityde, LLC (“Verityde,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of this website and any products or services offered through it (collectively, the “Service”).

By accessing or using any part of the site, or by placing an order, you agree to be bound by these Terms and by all policies referenced in them (including our Shipping & Return Policy, and Privacy Policy. If you do not agree, do not access the site or use the Service. Our store is hosted on [Shopify / platform], which provides the e-commerce platform that allows us to offer products to you.

We may update these Terms at any time by posting a revised version with a new effective date. Your continued use of the site after changes are posted constitutes acceptance of those changes.

SECTION 1. Research Use Only & Regulatory Disclaimers

All products offered by Verityde are intended solely for laboratory and analytical research use by qualified professionals in appropriately equipped facilities. Our products have not been evaluated or approved by the U.S. Food and Drug Administration (FDA) and are not intended for human or animal consumption, or for medical, clinical, diagnostic, therapeutic, cosmetic, food, household, or in-vivo use of any kind. Our products are not drugs, dietary supplements, food, or cosmetics, and are not intended to diagnose, treat, cure, or prevent any disease or condition.

Nothing on this site constitutes medical, veterinary, or professional advice, or any representation or warranty regarding the safety or suitability of any product for any particular use. Product descriptions, imagery, and any published information are provided for reference only.

SECTION 2 – Eligibility & Account Security

To access the site or purchase from us, you represent and warrant that you are at least 21 years of age, that you are a qualified professional or researcher familiar with the safe handling of research materials, and that you are legally permitted to purchase and possess these products in your jurisdiction. We do not knowingly collect information from anyone under 21.

If you create an account, you are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

SECTION 3 – Orders & Acceptance

An order placed through the site is an offer to purchase, not a binding acceptance. We reserve the right to accept, decline, limit, or cancel any order for any reason, including product availability, errors in pricing or product information, suspected fraud, or compliance concerns. If we cancel an order after payment, we will issue a refund for the affected items.

Products are sold for the buyer’s own internal laboratory research only. Resale, repackaging, relabeling, redistribution, or export of our products is prohibited without our prior written consent.

SECTION 4 – Pricing, Payment & Taxes

All prices are stated in U.S. dollars and are subject to change without notice. Full payment is due at checkout. By submitting an order, you authorize the selected payment method to be charged for the total order amount, and you remain responsible for any applicable taxes, surcharges, duties, and address-correction fees.

We may request additional identity or eligibility information for fraud-prevention and compliance purposes and may hold or cancel an order pending that review.

SECTION 5 – Shipping, Title & Risk of Loss

We ship to [United States addresses only]. In-stock orders typically ship within [1–2 business days], and a tracking number is emailed once your order ships. Delivery time estimates are not guarantees, and we are not responsible for carrier delays.

Title and risk of loss pass to you upon [our delivery of the products to the carrier / delivery to the address you provide — confirm].

Verityde works with a third-party fulfillment partner and does not directly control the carrier’s handling once a package is in transit. If a carrier loses a package in transit, contact us at support@verityde.com and we will assist, including opening a claim or dispute with the carrier. Depending on the outcome and any shipping-protection option selected at checkout, a lost package may need to be repurchased.

Please inspect your order upon arrival and report any defective, damaged, or incorrect item within [2 days] of delivery, with your order number and photographs, so we can assist (see Section 6).

SECTION 6 – Returns & Refund

Because of the specialized, research-use nature of our products, all sales are final. We do not accept returns or exchanges for change of mind, ordering errors, or change of use.

The exception is a problem on our end: if an item arrives defective, damaged in transit, or incorrect, contact us at support@verityde.com within [2 days] of delivery with your order number and photographs. Once we have reviewed it, an approved remedy will be a replacement or credit at our discretion. Do not send items back before contacting us; unauthorized returns will not be accepted.

Non-returnable items: given the nature of our products, we cannot accept returns or exchanges on any research compound, hazardous material, or opened/used item, or on sale items or gift cards.

If a replacement or refund is approved, we will process it to your original payment method; please allow additional time for your bank or card issuer to post the refund. Full details are in our Shipping & Returns Policy.

SECTION 7 – Product Information & Handling

Product descriptions, specifications, images, and any Certificate of Analysis (COA) are provided as-is and for informational/reference purposes and may be updated at any time. While we maintain quality standards and provide batch documentation where available, you are solely responsible for determining a product’s suitability for your intended research and for the lawful storage, handling, use, and disposal of all products in accordance with applicable laws and institutional and laboratory safety protocols. You agree never to use our products in or on humans or animals, and never to represent them as safe or effective for any such use.

SECTION 8 – Compliance With Laws

You are solely responsible for compliance with all federal, state, and local laws and regulations that apply to your purchase, possession, use, storage, and disposal of our products in your jurisdiction. The legal status of research compounds varies by location and may change over time; it is your responsibility to verify and comply. We reserve the right to refuse or cancel orders and to restrict sales or shipment to any person, region, or jurisdiction.

SECTION 9 – Intellectual Property

The site and its contents: including text, graphics, logos, the Verityde name and marks, images, and software are owned by Verityde, LLC or its licensors and are protected by intellectual-property laws. You are granted a limited, non-exclusive, non-transferable right to access and use the site for its intended purpose. You may not copy, reproduce, sell, resell, or exploit any portion of the site or its content without our prior written permission.

SECTION 10 – Prohibited Uses

You may not use the site or our products: for any unlawful purpose; to violate any law or regulation; to infringe intellectual-property rights; to harass, defame, or discriminate; to transmit malicious code; to collect others’ personal information without authorization; to send spam or engage in phishing; or to interfere with the security or operation of the site. Violation may result in immediate termination of your access.

SECTION 11 – Disclaimer of Warranties

The site and all products are provided on an “as-is” and “as-available” basis to the fullest extent permitted by law. We disclaim all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the site will be uninterrupted, secure, or error-free, or that any product will meet your expectations.

SECTION 12 – Limitation of Liability

To the fullest extent permitted by law, Verityde, LLC and its members, officers, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for lost profits, lost data, or damages arising from misuse of any product, whether based in contract, tort, or otherwise. To the maximum extent permitted by law, our total liability for any claim will not exceed the amount you paid for the specific product giving rise to the claim. You assume all responsibility and risk for your use of the site and products, including any use of products after delivery.

SECTION 13 – Indemnification

You agree to defend, indemnify, and hold harmless Verityde, LLC and its members, officers, employees, contractors, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising from your use or misuse of the site or products, your violation of these Terms, or your violation of any law or the rights of any third party.

SECTION 14 – Governing Law & Venue

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-law principles. You agree that any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Pinellas, Florida, and you consent to the personal jurisdiction of those courts.

SECTION 15 – Changes to These Terms

We may update these Terms from time to time by posting a revised version with an updated effective date. Continued use of the site after changes are posted constitutes acceptance of the updated Terms.

SECTION 16 – Severability & Entire Agreement

If any provision of these Terms is found to be unlawful or unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect. These Terms, together with the policies referenced in them, constitute the entire agreement between you and Verityde, LLC regarding the Service and supersede any prior agreements.
